MiraiMind Purchase Terms & Agreements

Welcome to MiraiMind (the “Platform”). This Platform is provided and controlled by Hello Group Japan Co.,Ltd(“MiraiMind”,”we”or”us”). We provide a Chatbot product for you on our Platform. It’s open to users of the Services who are aged 18 or older and is subject to the following terms and conditions of these Purchase Terms & Agreements.

1. Scope

These Purchase Terms & Agreements (these " Terms ") are between you ("you") and are incorporated by reference to the MiraiMind Terms of Use. When you purchase on our Services, we grant you a non-exclusive, non-transferable, non-sublicensed, non-commercial and personal license to use the products.

2. Terms of payment

2.1 Your Representations

By clicking the button relevant to payment on the Platform, you

(a) acknowledge that (i) your order will be bound by these Terms, (ii) you authorize us to charge you for your order and

(b) represent that (i) you have legal capacity to enter into a contract with us or have obtained the consent from your legal guardian to enter into such contract, (ii) you provided true and accurate information during the ordering process. Please note that you will be responsible for any consequences (such as loss of funds, theft, misuse, or other damages) resulting from providing inaccurate or incomplete information.

2.2 Pricing and Taxes

All prices, discounts and descriptions made available on the Platform are subject to availability, and may be withdrawn or revised at any time. Price of the products is inclusive of any and all applicable Japanese consumption tax (“JCT”) or similar taxes

2.3 Payment Methods

We offer various payment methods on the Platform, some of which are managed by third-party payment and billing providers for which additional terms and costs may apply. Please review such additional terms and costs carefully. You may also be required to create an account with such third-party provider.

You agree that we may, at our sole discretion and without further notice, determine and change the availability of certain payment solutions from time to time without any liability to you. For the purpose of preventing fraud and/or payment means abuses, we may share with our technical partners certain of your personal and purchase information, in accordance with the Privacy Policy.

We reserve the right to suspend and/or revoke your account and/or to restrict you from placing orders and/or to restrict you from using certain payment methods, if we reasonably suspect that you have undertaken (or are attempting/have attempted to undertake) a fraudulent transaction. 3. Products

We may make the following products and incentives available to you on our Platform from time to time.

3.1 MiraiMind Konpeito

Any user of our Services may purchase virtual MiraiMind Konpeito (" MiraiMind Konpeito") from us using authorized payment methods. All charges and payments for MiraiMind Konpeito will be made in the currency specified at the point of purchase through the relevant payment mechanism. Currency exchange settlements, foreign transaction fees and payment channel fees, if any, are based on your agreement with the applicable payment provider.

Once your purchase has been completed, your user account will be credited with MiraiMind Konpeito.

MiraiMind Konpeito cannot be exchanged for cash or any other form of credit and can only be used on our Platform and as part of our Services. The sale, barter, assignment or other disposal of any MiraiMind Konpeito, other than by us, is expressly prohibited. Accrued MiraiMind Konpeito do not constitute property of users. Any MiraiMind Konpeito assigned, sold, or otherwise transferred without our express written consent are void. All MiraiMind Konpeito of a user will expire automatically upon termination of such user's account especially termination caused by any user's illegal behavior or any breach of these Term.

You agree that we have the absolute right to manage, regulate, control, modify and/or eliminate such MiraiMind Konpeito, where we have a valid reason to do so, in any general or specific case, and that we will have no liability to you based on its exercise of such right.

MiraiMind Konpeito cannot be refunded or reimbursed by us, or transferred between users or user accounts. Once your services of account has been terminated due to violate our rules, MiraiMind Konpeito will be deducted or disposed in proper way according to our rules.

3.2 Value-addedServices

Value-added Services constitute a non-exclusive, non transferable, and limited license right for you to use to certain features of digital products and Services of the Platform. You may exchange your LoveRo Diamond for various Value-added Services. The exchange rate between each LoveRo Diamond and Value-added Services will be displayed on our Platform at the point of exchange. You agree that we have the absolute right to manage, regulate, control, modify and/or eliminate such exchange rate as we see fit in our sole discretion, in any general or specific case, and that we will have no liability to you based on our exercise of such right.

4. Limitation of Liability

If we fail to comply with these Terms, we shall only be liable to you for the purchase price of the Product(s) and any proven losses you suffer (such losses to equal no more than $100, which can be converted into the equivalent legal tender of your country or region based on the exchange rate at the time of the dispute) as a result of our failure to comply with these Terms.

We will not be liable for losses that result from our failure to comply with these terms and conditions that fall into the following categories:

a. loss of income or revenue;

b. loss of business;

c. loss of profits;

d. loss of anticipated savings;

e. loss of data; or

f. any indirect or consequential loss.

Nothing above prevents claims for damage to your tangible property. Nothing in this section affects our liability for death or personal injury arising from our negligence, or our liability for fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited under applicable law.

Miscellaneous

5.1 Force Majeure.

We shall have no liability under these Terms if it is prevented from, or delayed in, performing our obligations or from carrying on our business by acts, events, omissions or accidents beyond our reasonable control, including, without limitation, strikes, lock-outs or other industrial disputes (whether involving our own workforce or any other party), failure of a utility service or transport or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or sub-contractors.

5.2 Revision of the Terms

We reserve the right to modify these Terms and other notices contained on the Platform, at any time, temporarily or permanently and entirely at our own discretion. The Terms that apply to your purchase are the ones in force at the time of your purchase. Any change of these Terms will not apply retroactively to purchases that you made before the Terms were modified.
